Job Overview

TMF Group is looking for a Corporate Governance Officer to support its internal entities operating in Jersey and Guernsey.

The role focuses on coordinating board and committee governance activities, maintaining statutory records, and ensuring compliance with relevant regulatory requirements. The successful candidate will work closely with the governance team to manage documentation, track governance actions, and support regulatory filings.

This position requires strong organisational skills, attention to detail, and the ability to handle confidential governance information.


Key Responsibilities

Board and Committee Support

  • Prepare agendas and documentation for board and committee meetings

  • Compile and manage Board Packs using board management software

  • Attend meetings and coordinate related communication

  • Take and draft meeting minutes for scheduled and ad hoc meetings

Governance Documentation

  • Draft and circulate written resolutions

  • Maintain and update statutory registers

  • Ensure accurate record keeping of governance documentation

Regulatory Compliance

  • Assist with Annual Confirmations and stock transfer forms

  • Ensure timely submission of statutory filings and regulatory notifications

  • Maintain compliance with relevant regulatory frameworks

Administrative Coordination

  • Track and follow up on action points from board meetings

  • Maintain accurate system records for corporate entities

  • Support internal governance procedures and control processes

Stakeholder Collaboration

  • Work with internal teams to support governance operations

  • Maintain effective relationships with internal stakeholders

  • Contribute to team projects and ad hoc governance initiatives


Minimum Requirements

Experience

  • 2–3 years of experience in:

    • Corporate governance

    • Corporate administration

    • Funds or company administration environments

Knowledge

  • Understanding of Jersey and Guernsey regulatory requirements

  • Experience supporting corporate boards or governance processes

Skills

  • Strong written English with the ability to draft formal governance documents

  • High attention to detail and organisational ability

  • Ability to manage multiple tasks and deadlines

  • Strong collaboration and stakeholder management skills
