Job Overview

Apex Group is seeking a proactive and detail-oriented Administrator to join its Governance/Company Secretarial team. The successful candidate will support a portfolio of clients by ensuring compliance with statutory and regulatory requirements while delivering high-quality administrative and governance services. This is a client-facing role offering exposure to corporate governance and international business operations.


Key Responsibilities

Meeting Administration

  • Coordinate corporate calendars and schedule board meetings
  • Prepare and distribute agendas and board packs
  • Attend meetings (virtually) and ensure proper documentation
  • Track action items and ensure timely follow-ups

Minute Drafting

  • Draft clear, accurate, and concise meeting minutes
  • Capture key decisions and discussions professionally
  • Circulate minutes for review and final approval

Statutory Compliance & Filings

  • Monitor filing deadlines and ensure timely submissions
  • Assist with preparation and submission of regulatory documents
  • Ensure compliance with relevant legal and governance frameworks

Records Management

  • Maintain statutory registers (Directors, Members, etc.)
  • Ensure accurate electronic record-keeping
  • Update document management systems and policies

Administration & Governance Support

  • Draft governance documents (resolutions, notices, confirmations)
  • Manage document workflows and tracking tools
  • Handle document signing processes (e.g., DocuSign)

Client & Stakeholder Management

  • Act as the primary contact for clients and stakeholders
  • Respond to queries professionally and promptly
  • Build strong relationships with internal and external stakeholders

Portfolio & Quality Management

  • Manage multiple client portfolios and deadlines
  • Ensure accuracy and quality through self-review
  • Contribute to process improvements and team collaboration

Qualifications

Education

  • Relevant qualification in Business Administration, Law, or related field (advantageous)

Experience

  • Minimum 1 year experience in corporate administration or company secretarial role
  • Experience with governance processes and statutory compliance
  • Exposure to international frameworks (e.g., Luxembourg law) is advantageous

Skills

  • Strong knowledge of corporate governance and compliance
  • Excellent written and verbal communication skills
  • High attention to detail and accuracy
  • Strong organizational and time management skills
  • Proficiency in Microsoft Office (Outlook, Word, Excel)
