🔍 About the Role

ENS is seeking an experienced Company Secretarial Administrator to join our Corporate Commercial department in Johannesburg. This role offers a stimulating and fast-paced environment, managing a diverse client portfolio while ensuring statutory compliance in line with the Companies Act and related regulations.

The successful candidate will handle all aspects of company formation, regulatory filings, board changes, compliance schedules, and governance advisory support. This is a client-facing position that requires precision, excellent communication, and a deep understanding of corporate governance requirements.


🛠 Key Responsibilities

  • Advise clients on appropriate entity types and incorporation procedures

  • Manage business entity registrations, including CoR forms, MOIs, and supporting documents

  • Reserve company names via electronic/manual processes

  • Maintain compliance schedules and track statutory obligations

  • File annual returns (AR), ultimate beneficial ownership (UBO) declarations, and XBRL uploads with CIPC

  • Coordinate with CIPC officials on filings, special resolutions, mergers, and company changes

  • Prepare and file deregistration, liquidation, and non-compliance applications

  • Review MOIs to ensure legal and governance alignment beyond Companies Act requirements

  • Manage director removals, board changes, and company secretary appointments

  • Liaise with CIPC legal team for interpretation of regulatory updates and practice notes


🎓 Qualifications & Experience

  • Matric/Senior Certificate required

  • Diploma or Bachelor’s degree in Law, Risk Management, or related field advantageous

  • CGISA qualification highly desirable

  • Minimum 5 years’ company secretarial support experience

  • Proficiency in Microsoft Word, Outlook, Excel, and Adobe

  • Excellent written and verbal communication in English
