Job Overview

The Group Legal and Governance Risk Manager will provide strategic leadership in identifying, assessing and managing legal and governance risks across the group. This role is responsible for ensuring that governance frameworks, legal controls and compliance processes support the organisation’s business objectives and align with industry standards.

The successful candidate will oversee legal risk management, corporate governance, regulatory change and board support, while ensuring compliance with South African financial services legislation and governance best practice.


Key Responsibilities

  • Design and implement a legal risk management framework across the organisation
  • Identify and assess legal risks including litigation, contracts, regulations and intellectual property
  • Develop and maintain legal risk registers, risk appetite statements and escalation protocols
  • Create systems for monitoring regulatory developments and emerging legal risks
  • Conduct legal due diligence on new business ventures, acquisitions and partnerships
  • Develop methodologies for measuring the financial impact of legal exposures
  • Implement legal risk awareness and training programmes across the business
  • Design and lead a corporate governance framework aligned with King IV principles
  • Develop governance policies for boards, committees and executive structures
  • Oversee governance maturity assessments, board evaluations and succession planning
  • Establish conflict of interest management systems and ethics frameworks
  • Support governance across subsidiaries and group structures
  • Lead regulatory change management and monitor new governance-related legislation
  • Design regulatory impact assessments and implementation plans
  • Provide support and governance advice to boards and committees
  • Improve board documentation, reporting and decision-making processes
  • Manage stakeholder relationships and communication relating to governance matters
  • Build relationships with regulators, industry bodies and external legal advisers

Qualifications

Education

  • LLB Degree
  • Admitted Attorney or Advocate in South Africa
  • Master’s Degree in Law, Corporate Governance or a related field
  • Certified Compliance Professional (CCP) or similar certification

Experience

  • 8 to 10 years of experience in legal, governance or compliance roles
  • Minimum of 5 years’ management experience within the financial services industry
  • Experience with South African financial sector regulations
  • Proven experience implementing King IV governance principles
  • Experience managing legal risk, corporate governance and regulatory change

Skills

  • In-depth knowledge of South African legal and regulatory frameworks
  • Thorough understanding of the King IV Report on Corporate Governance
  • Strong knowledge of financial services legislation
  • Advanced understanding of contract law and legal risk management
  • Excellent strategic thinking and business acumen
  • Strong analytical and problem-solving skills
  • Advanced stakeholder engagement and relationship-building ability
  • Excellent written and verbal communication skills
  • Ability to lead governance initiatives across complex business environments
  • Strong leadership and management capability
